In these Terms and Conditions:

- "Services" means the AI consulting engagements we provide, including procurement optimisation, board literacy programmes, and multimodal application design.
- "Content" means all material on this website including text, graphics, methodologies, and deliverables.
- "Agreement" means these Terms and Conditions together with any applicable engagement letter or service agreement.
2. Acceptance of Terms
By using this website or engaging our services, you confirm that you are at least 18 years of age, have the legal capacity to enter into agreements, and accept these Terms in full. If you are acting on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
3. Service Description
Citra Digital provides specialist AI consulting services to Malaysian organisations. Our current service offerings include:
- AI for Procurement Optimisation — spend analysis, supplier scoring, demand consolidation, and dashboard delivery
- AI Literacy for Board Members — structured education sessions for non-executive directors and board governance
- Multimodal AI Application Design — consulting for applications processing multiple data types, including technical specification delivery
Service availability is subject to capacity and geographic considerations. We primarily serve organisations in Malaysia and the broader Southeast Asian region.
4. Engagement and Accounts
Formal service engagements are established through a written engagement letter or service agreement. The terms of each engagement, including scope, deliverables, timeline, and fees, are specified in that document and take precedence over these general Terms where they conflict.
This website does not require user account registration. Data submitted via the contact form is handled in accordance with our Privacy Policy.
5. User Responsibilities and Acceptable Use
When using this website, you agree to:
- Provide accurate and complete information when submitting enquiries
- Use this website only for lawful purposes and in accordance with these Terms
- Refrain from attempting to access areas of the site not intended for general access

Deliverables created during a consulting engagement are subject to the intellectual property terms specified in the relevant engagement agreement. Where not otherwise specified, client organisations are granted a non-exclusive licence to use deliverables for internal business purposes.
7. Fees and Payment Terms
Our service fees are denominated in Malaysian Ringgit (RM) and are as follows:
- AI for Procurement Optimisation: from RM 890
- AI Literacy for Board Members: from RM 2,270
- Multimodal AI Application Design: from RM 3,760
Final fees are confirmed in the engagement letter. Payment terms, including deposit requirements and milestone payments, are specified per engagement. All fees are exclusive of applicable taxes.
Refund terms for cancelled or amended engagements are set out in the engagement letter. Where no specific refund terms are stated, cancellations made more than 14 days before an engagement commencement date are eligible for a full refund of deposits paid.
8. Confidentiality
We treat all client information shared during the course of an engagement as confidential. We will not disclose client-specific information to third parties without consent, except where required by law. Clients are expected to treat our proprietary methodologies and frameworks with equivalent care.
9. Disclaimers
Our services are provided on a professional consulting basis. We do not guarantee specific business outcomes or results from AI integration work. All recommendations and deliverables represent our professional assessment based on information provided by the client.

10. Limitation of Liability
To the extent permitted by Malaysian law, Citra Digital's total liability for any claim arising from our services or this website shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.
We are not liable for indirect, consequential, or incidental losses, including loss of profits, data, or business opportunity, arising from use of our website or services.
11. Indemnification
You agree to indemnify Citra Digital against any claims, losses, or expenses arising from your breach of these Terms, misuse of our services, or infringement of any third-party rights in connection with your use of our services.
12. Termination
Either party may terminate a consulting engagement as specified in the engagement letter. We reserve the right to refuse or terminate service where a user has breached these Terms or where continuing the engagement would be unlawful.
Sections covering intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination of any agreement.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or from a consulting engagement will first be subject to good-faith negotiation between the parties.
If a dispute cannot be resolved through negotiation within 30 days, the parties agree to refer the matter to mediation under the rules of the Malaysian Mediation Centre before initiating legal proceedings.
The courts of Malaysia shall have exclusive jurisdiction over any dispute not resolved through the above process.
14. General Provisions
These Terms, together with any applicable engagement letter, constitute the entire agreement between the parties in relation to website use and service delivery. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver of that right.
15. Changes to These Terms
We may update these Terms from time to time. The "Last Updated" date at the top of this page will reflect any changes. Continued use of our website or services following an update constitutes acceptance of the revised Terms.
